Novartis Enhances Innovative Medicines Strategy and Renal Pipeline Through Chinook Therapeutics Acquisition for an Upfront Payment of Usd 3.2 Billion (Usd 40 Per Share)

Novartis has recently announced its acquisition of Chinook Therapeutics, a clinical-stage biopharmaceutical company based in Seattle. The acquisition is in line with Novartis' strategy to expand its renal portfolio and focus on innovative medicines. Chinook Therapeutics specializes in the development of treatments for rare and severe chronic kidney diseases.

Chinook Therapeutics is primarily focused on addressing Immunoglobulin A Nephropathy (IgAN), a progressive kidney disease that predominantly affects young adults and lacks targeted treatment options. IgAN can lead to kidney failure and may require dialysis or transplantation. Within 10 years, about 30% of IgAN patients progress to kidney failure.

Chinook Therapeutics has two late-stage assets in its pipeline for IgAN treatment. Atrasentan, an oral endothelin A receptor antagonist, is currently in Phase 3 development and has demonstrated significant reductions in proteinuria, an important marker of kidney damage. Zigakibart (BION-1301), a subcutaneously administered anti-APRIL monoclonal antibody, is expected to enter Phase 3 trials in the near future.

The acquisition agreement, valued at up to USD 3.5 billion, has been unanimously approved by the boards of both companies. As per the deal, Chinook's shareholders will receive USD 3.2 billion in cash upon closing, with an additional contingent value right of up to USD 0.3 billion, payable upon the achievement of specific regulatory milestones. The transaction is expected to be finalized in the second half of 2023, pending customary closing conditions and regulatory approvals.

Novartis aims to provide much-needed treatment options for IgAN patients and address the challenges associated with this devastating disease. The company is committed to ensuring a smooth transition for Chinook employees and looks forward to welcoming them to Novartis.

IgAN is characterized by an autoimmune reaction to abnormal IgA, leading to the formation of immune complexes in the kidney, which trigger inflammation and kidney damage. It is a rare disease, affecting up to 21 people per million per year in the U.S., with a higher incidence in Asian populations. IgAN is the most common cause of kidney failure in young Caucasian adults. Patients with higher levels of proteinuria are at a greater risk of disease progression, with approximately 30% progressing to kidney failure within 10 years.

Atrasentan and zigakibart have shown promising results in reducing proteinuria and targeting the underlying causes of IgAN. Atrasentan is expected to release pivotal results from its Phase 3 trial in the fourth quarter of 2023, while Zigakibart is scheduled to commence Phase 3 trials in the third quarter of 2023. These targeted therapies have the potential to revolutionize the treatment landscape for IgAN patients and prevent the development of end-stage kidney disease.
