Fulcrum Therapeutics and Slate Medicines Agree Merger to Advance Next-Generation Migraine Treatments

Fulcrum Therapeutics and Slate Medicines have entered into a definitive agreement to combine the companies in an all-stock transaction. Following completion, the combined company will operate as Slate Medicines and is expected to trade on Nasdaq under the ticker symbol SLTE.
The transaction is supported by a $245 million private placement led by Frazier Life Sciences, with participation from Forbion, RA Capital Management, Deep Track Capital, Foresite Capital, OrbiMed, RTW Investments and Mingxin Capital. The financing is expected to close alongside the merger, subject to customary conditions.
The combined company's cash position is expected to support operations through 2029. Funding will be used to advance Slate's lead programme, SLTE-1009, through a Phase 1 study in healthy volunteers and a Phase 2 dose-ranging study in patients with migraine, as well as to progress its wider development pipeline.
Before the merger closes, Fulcrum expects to declare a cash dividend for its existing shareholders based on the amount by which its net cash exceeds $20.3 million.
Slate is developing treatments aimed at expanding options for patients with migraine and other headache disorders. Its lead candidate, SLTE-1009, is a monoclonal antibody designed to target both pituitary adenylate cyclase-activating peptide (PACAP) and vasoactive intestinal peptide (VIP). These neuropeptides are involved in migraine biology, and the dual-target approach is intended to provide broader inhibition of the PACAP/VIP pathway than PACAP-only treatments.
SLTE-1009 has been engineered for an extended half-life to support subcutaneous administration and potentially quarterly dosing. The programme has received clearance to begin Phase 1 clinical trials in Australia, with initial pharmacokinetic and safety data expected in mid-2027.
Slate is also developing SLTE-2100, a bispecific antibody targeting PACAP/VIP and calcitonin gene-related peptide (CGRP). The programme is currently in lead optimisation and is expected to enter clinical trials in the second half of 2027. Funding is in place to support development through a Phase 2a study in patients with migraine. The company is also working on another undisclosed migraine programme.
Slate's management team brings experience in migraine research, drug development and commercialisation. The leadership team includes Gregory Oakes as Chief Executive Officer, Neil Buckley as President and Chief Operating Officer, Dr Roger Cady as Chief Medical Officer and John Umstead as Chief Financial Officer.
The company also has Scientific and Clinical Advisory Boards comprising neurologists and headache researchers who will support its scientific and clinical development strategy.
