Engage Bio Acquired by Lilly to Support Development of Non-Viral Genetic Medicines

Engage Biologics Inc., a preclinical biotechnology company focused on non-viral DNA delivery, has been acquired by Eli Lilly and Company.

Engage has been developing the Tethosome platform, a non-viral DNA delivery system designed to address major challenges linked to DNA delivery, including potency, tolerability and the ability to administer repeat doses.

The platform combines engineered DNA payloads with lipid nanoparticle delivery and proprietary mRNA-encoded Tethosome technology intended to improve localisation and increase gene expression. The company stated that its engineered DNA payloads are designed to improve tolerability while maintaining the durability and programmability associated with DNA-based therapies.

Engage said the acquisition is expected to support the faster development of new genetic therapies by combining its platform technology with Lilly’s research and development capabilities in genetic medicine.

Under the agreement, Lilly acquired Engage for up to $202 million in cash. The deal includes an upfront payment along with additional payments linked to the achievement of development milestones.
